ACCEPTABLE USE POLICY

1. When do these terms and conditions apply?

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and ArchiPal- rent an architect, a division of ArchiPal  Ltd, concerning your access to and use of the https://archipal.io website as well as any other platform connected to ArchiPal (collectively, the “Site”). ArchiPal provides an online marketplace for Architectural consultancy services.

In order to help make the Site a secure environment for the purchase and sale of ArchiPal services, all users are required to accept and comply with these Terms and Conditions, including our Privacy Policy, Services Agreement, and Copyright Infringement Procedures. You agree that by accessing the Site and/or the ArchiPal  services, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms and conditions, then you are expressly prohibited from using the site and/or the ArchiPal services and you must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. When any changes are made, we will update the “Last Updated” date at the top of this document, so please check back in every now and then to ensure that you are still in agreement with our terms and conditions. By registering with our site, you agree to receive certain records from ArchiPal and ArchiPal CIC, such as contracts, notices, and communications, electronically. By registering you waive any rights under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of nonelectronic records, or to payments or the granting of credits by any means other than electronic means. You may withdraw your consent to receive your records electronically, by sending us an email to the address below. However, if you withdraw your consent to receive records and notices electronically, we will revoke your access to our Site and you will no longer be permitted to use our services.

You may be required to register with the Site in order to access our ArchiPal services. You agree to keep your password confidential and will be responsible for all use of your account and password. Please do not choose a username that is vulgar or inappropriate. We reserve the right to remove, reclaim, or change a username you select if we determine that such a username is inappropriate, obscene, or otherwise objectionable.

To register for our site, you will need a valid email address, a physical address, and a printer to print out and retain records and notices in paper form or some form of electronic storage to retain these documents. To ensure that we can provide you with a smooth and efficient service, we require that you keep your address and email address current with us.

  • Are you eligible for an account?

To use ArchiPal’s services, we require that you register for an account. Our services are for business purposes only. To use our service:

  • You must represent that you are an independent business or self-employed individual
  • You must be age 18 or over to use our services and be able to form legally binding contracts

Postings of any unauthorized products or content may result in immediate termination of your account and a lifetime ban from use of the Site.

We are a service provider and make no representations as to the safety, effectiveness, adequacy, accuracy, availability, prices, ratings, reviews, or legality of any of the information contained on the Site or the ArchiPal services displayed or offered through the Site. 4. What payments are accepted and how are they processed?

You agree to pay all charges that are displayed at the time of purchase along with any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. If your order is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Site. We may limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. Such Contributions, no matter the format, can be used by ArchiPal at our discretion.

This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide. You waive all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions. Your licenses will expire within a commercially reasonable period of time.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

We have the right, in our sole and absolute discretion:

Further, we do not knowingly accept, request, or solicit information from children or knowingly market to children. Therefore, in accordance with the U.S. Children’s Online Privacy Protection Act, if we receive actual knowledge that anyone under the age of 13 has provided personal information to us without the requisite and verifiable parental consent, we will delete that information from the Site as quickly as is reasonably practical.

9. ArchiPal’s Digital Millennium Copyright Act (DMCA) Notice and Policy

  • Notifications

We respect the intellectual property rights of others. If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify our Designated Copyright Agent using the contact information provided below (a “Notification”).

A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that according to federal law you may be held liable for damages if you make material misrepresentations in a Notification.   • Dispute Resolution
  • Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms and Conditions (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least 30 days before initiating arbitration.   • Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. You understand that without this provision, you would have the right to sue in court and have a jury trial.

The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules.

The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in New York County, New York. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in New Castle County, Delaware, and the Parties hereby consent to, and waive all defences of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms and Conditions.

In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than 1 year after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

  • Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law:

  • No arbitration shall be joined with any other proceeding
  • There is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures
  • There is no right or authority for any Dispute to be brought by a purported representative capacity on behalf of the general public or any other persons
  • Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration:

  • Any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party
  • Any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use
  • Any claim for injunctive relief
  • If this provision is found to be illegal or unenforceable, the Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

  • Use of the ArchiPal  services
  • Breach of these Terms and Conditions
  • Any breach of your representations and warranties set forth in these Terms and Conditions
  • Your violation of the rights of a third party, including but not limited to intellectual property rights
  • Any overt harmful act toward any other user of the Site or the ArchiPal  services with whom you connected via the Site

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims.
